Strengthening Corporate Governance - TWSE to Conduct Professional Training Course for Directors of New TWSE-Listed Companies

The Taiwan Stock Exchange (TWSE) has commissioned the Taiwan Corporate Governance Association (TCGA) to host 6 sessions of a “professional training course for directors of new TWSE-listed companies” from July 15, 2015 to September 18, 2015. This will serve to help directors of new TWSE-listed companies gain a deeper understanding of their responsibilities and board operational structure, and increase the amount of importance that directors attach to corporate governance while optimizing capabilities. To enhance teaching quality and interaction, it is also the first time that a course will be conducted as a small-sized training program.

TWSE states that this course was especially designed for new TWSE-listed companies. The securities market serves as a source for companies in raising capital for business development. Directors of TWSE-listed companies are obliged to exercise due care to enhance corporate governance and information disclosure. The duties of directors increase when companies transition from private ownership to a public company through initial public offerings (IPOs). Thus, it is very important to effectively assist new directors of listed companies in optimizing their capabilities and understanding the content of their fiduciary responsibilities.

TWSE has invited corporate governance experts with experience in serving as directors and supervisors of TWSE- and TPEx-listed companies, investigators of the Ministry of Justice Investigation Bureau (MIJB), and lawyers of Securities and Futures Investors Protection Center (SFIPC) to give lectures at the program. Courses include topics such as “how to prevent internal corruption”, “corporate governance outlook and efficient board construction of professional directors”, “civil liability of insiders under the Securities and Exchange Act”, and “liability of directors under the Securities and Exchange Act”. TWSE hopes this program will provide directors of new TWSE-listed companies with an in-depth understanding of their responsibilities, corporate governance and information disclosure, liability of directors under the Securities and Exchange Act (e.g., false financial reporting, insider trading, breach of trust, embezzlement), and the legal liabilities under criminal and civil law. Furthermore, directors are encouraged to implement what they have learned on future operations to enhance the quality of Taiwan’s capital market.
