Educational Sessions for 2025 Corporate Governance Evaluation to be Held in Northern, Central and Southern Taiwan Starting from March 4
The Taiwan Stock Exchange (TWSE) stated that the Corporate Governance Evaluation has been implemented for 12 years. Its evaluation indicators, scoring method and evaluation results are all highly regarded by listed companies. In order for companies to learn about the content of the 2025 (12th) Corporate Governance Evaluation and to encourage its implementation, the TWSE, in collaboration with the Taipei Exchange (TPEx), will hold six Educational Sessions for 2025 Corporate Governance Evaluation in Taipei, Hsinchu, Taichung and Kaohsiung starting from March 4 this year (2025).
The TWSE emphasized that this year's evaluation is conducted in accordance with the "Sustainable Development Action Plans for TWSE- and TPEx-Listed Companies (2023)," the "Transforming Taiwan into an Asia Asset Management Center" policy, and the ESG Evaluation Transformation Plan. It also refers to major international corporate governance and sustainable development trends, newly-revised domestic regulations, interpretations and policies, plus feedback from different sectors and groups. A total of 9 indicators are added, 11 indicators revised, 14 indicators deleted, and 4 types of indicators adjusted. In order to guide companies to pay attention to shareholder rights and strengthen their ability to create long-term value, this year's evaluation has added a new indicator of "Formulating Specific Measures to Enhance Corporate Value." The indicator serves to encourage the board of directors to pay attention to the formulation of such a plan, and voluntarily upload the plan to the "Enhancement of Corporate Value" section of the Market Observation Post System for the purpose of public disclosure. Furthermore, to encourage companies to focus on climate change issues and strengthen the disclosure of greenhouse gases emissions, four indicators are added, namely "Disclosure of Scope 3 and Annual Greenhouse Gases Emissions for the Past One Year," "Establishment of Environmental Management System," "Formulation of Energy Management Plan" and "Implementation of Internal Carbon Pricing." Meanwhile, "Disclosure of 2030 Carbon Reduction Targets, Strategies and Action Plans" has been listed as an advanced requirement for extra credit. To encourage companies to attach importance to the career development of employees, as well as communicating and interacting with them, new indicators have been added, namely "Formulation of Training and Career Development Plans for Enhancement of Employee Capabilities" and "Performance of Periodic Employee Satisfaction Surveys." To encourage companies to prioritize the protection of consumer rights, two new indicators are added, namely "Formulation of Personal Data Protection Policy" and "Formulation of Policy and Complaint Procedures for the Protection of Consumer or Customer Rights."
Apart from reinforcing key points of the evaluation indicator revision, the educational sessions this year also incorporate illustrative examples to elucidate the Corporate Governance Evaluation System. The themes comprise recent revisions to corporate governance-related regulations, and ESG disclosure along with recent promotion measures. Furthermore, to facilitate the engagement between listed companies and investors, and improve data link of investor conferences, a representative of the Taiwan Index Plus Corporation will be invited to give an introduction to their IR Engagement platform. The objective is give companies an opportunity to gain more exposure and deepen communication with institutional investors.
Since the implementation of the Corporate Governance Evaluation in 2014, the evaluation indicators, scoring method and evaluation results have been deemed highly relevant by listed companies. The TWSE pointed out that the educational sessions are the first time to be held in person in six years. Currently, registration for each session is met with much enthusiasm. To date, nearly 2,000 people have registered. Registration is open until February 26, but will be closed early if all reservations are full. The TWSE would like to remind all listed companies to seize the opportunity to register on the website of the Securities and Futures Institute.
